Welcome to VergeHR. These Terms of Service (the “Terms”) are a legal agreement between you and [LEGAL ENTITY NAME] (“VergeHR”, “we”, “us” or “our”). They govern your access to and use of the VergeHR website at vergehr.com, the VergeHR web application, the VergeHR mobile apps for iOS and Android, and every related feature and service we provide (together, the “Service”).
Please read these Terms carefully. By creating an account, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of a company or other organisation, you confirm that you have authority to bind that organisation, and “you” includes that organisation.
VergeHR is an online HR platform that helps organisations keep their people information and everyday HR tasks in one place. VergeHR is a tool: it does not provide legal, employment, tax or payroll advice, and you remain responsible for your own HR decisions and for complying with the laws that apply to you.
You must give accurate information when your account is set up and keep it up to date. You are responsible for keeping your password safe and for everything done through your account. We strongly recommend turning on two-factor authentication. Tell us promptly at [email protected] if you suspect unauthorised use.
An account owner can invite team members and decide their access level. The owner is responsible for who they invite, what those people can see, and for their use of the Service.
You keep all rights to the information you put into the Service. You give us permission to host, process and display it only as needed to provide the Service to you. Where you add information about employees or other people, you confirm that you have the right to do so and have given any notices or obtained any consents the law requires.
Where your organization allows it, you may connect third-party AI apps to the Service. An app acts for you and sees only what your role lets you see. You choose to connect it, its provider's terms apply to it, and you are responsible for what you ask it to do, including any change it makes with your permission. We don't control or answer for what a third-party app does with what it receives. We may limit or end a connection that puts the Service or anyone's data at risk.
Do not misuse the Service: no unlawful content, no attempts to break or probe its security, no interference with other users, no reverse engineering except where the law allows, and no use of the Service to discriminate against or harass anyone.
Some features may require a paid plan. Prices and what each plan includes are agreed with you when you subscribe — book a demo to discuss them. [BILLING TERMS TO BE ADDED WHEN PAID PLANS LAUNCH.]
You can delete your account at any time from Settings. Deletion is scheduled for 30 days, during which signing in cancels it; afterwards the account and its data are permanently erased. We may suspend or end access if you seriously or repeatedly break these Terms, or where the law requires.
The Service is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill. [LIABILITY CAP TO BE CONFIRMED BY COUNSEL.]
We may change the Service and these Terms from time to time. We will post updated Terms on this page and change the “Last updated” date, and tell you about material changes before they take effect.
[GOVERNING LAW AND DISPUTE RESOLUTION TO BE CONFIRMED BY COUNSEL.]
