What is a new partner admission agreement?
When a partnership grows, a senior employee, investor or outside professional may join as a partner. Admitting them changes who owns the business, who shares profits and who may be liable for its debts, so the existing partners and the newcomer should agree the terms in writing.
This template is signed by two existing partners and the new partner. It sets the admission date, binds the new partner to the existing partnership agreement (or commits everyone to sign one), and records the capital contribution and how it is paid, the new profit and loss split, the new partner's role, and who bears debts from before admission, with an indemnity from the existing partners. It also lists the practical updates to bank mandates, registrations and insurance.

New partner admission agreement: frequently asked questions
Does the new partner need to contribute capital?
Not necessarily. Enter 0 if they are admitted for their skills or clients. Many partnerships do ask for a contribution, sometimes paid from future profits.
Is the new partner liable for old debts?
Between the partners, it depends on the option you choose. Liability to outside creditors depends on local law; the existing partners indemnify the new partner for debts they are not responsible for.
Can we use this for an LLP or LLC?
Those have their own statutory rules and usually their own members' agreement. This template is written for a general partnership.
What if a partner is leaving at the same time?
Use a partner buyout agreement for the departing partner alongside this one.
