What is a warehousing agreement?

A warehousing agreement sets the terms on which a warehouse operator or third-party logistics provider (3PL) stores and handles another business's goods. Whether it's pallets in long-term storage or an ecommerce brand's fulfilment, the questions are the same: what's included in the fees, how quickly stock is booked in and orders go out, how inventory is counted, and who is responsible when goods are lost or damaged.

This template covers the facility and the goods, storage conditions (ambient, temperature-controlled or chilled and frozen), storage only or storage with order fulfilment, receiving against advance shipping notices, dispatch and returns, a fee schedule you write in with an optional monthly minimum, inventory records and annual and cycle counts with an allowed variance, liability for loss and damage with a choice of limit, insurance, the customer's own responsibilities, unpaid fees, and moving goods out when the agreement ends.

Using the warehousing agreement, step by step

1 Describe the facility and goods

Add the address where the goods are stored and describe them — product type, packaging, number of SKUs and anything excluded, such as hazardous or temperature-controlled goods. Choose the storage conditions.

2 Choose the services

Pick storage only, or storage and order fulfilment. For fulfilment, add a same-day dispatch cut-off if you offer one; the fulfilment clauses cover picking and packing accuracy, reshipping for the warehouse's errors, and handling returns.

3 Write in the fees

List every fee on its own line — receiving, storage per pallet or bin, pick and pack per order, packaging, outbound handling. Add a minimum monthly charge if you use one and the payment period.

4 Set inventory and liability terms

Set the allowed inventory variance (unexplained shortages up to this level aren't charged to the warehouse), choose the liability limit — the customer's cost of goods, or an amount per unit or pallet — and any minimum liability insurance.

5 Set the term and send

Choose a minimum term if any and the notice to end. Send it for signature; the signed copy is filed in Files.

Tips Before You Send It

  • Ask for the warehouse's liability limit in writing and compare it with the value of your stock — then insure the goods themselves for the difference.
  • Warehouse liability, liens and warehouse receipts are regulated in some places. Check whether local rules apply to your arrangement.
  • Agree the reporting you need (stock by SKU, lot and expiry) before go-live — it's much harder to add later.
  • Plan the exit: the template requires an orderly release of goods and a final inventory report when the agreement ends.

Warehousing agreement: frequently asked questions

Who is responsible if goods go missing?

Under the template, the warehouse is responsible for loss or damage caused by its failure to take reasonable care, including staff theft and picking errors, up to the limit you choose. Shortages within the allowed yearly variance aren't charged to the warehouse. The customer insures the goods themselves.

What is an inventory variance or shrinkage allowance?

A small percentage of unexplained stock loss that's accepted as normal in warehousing and isn't charged to the warehouse. You set the percentage, or leave it empty for none.

Can a warehousing agreement be signed electronically?

In most countries, including the US (ESIGN Act and UETA), the UK, the EU (eIDAS) and Canada, an electronic signature is generally valid for an ordinary commercial contract like this one. VergeHR keeps an audit trail and a Certificate of Completion with the signed PDF as evidence of who signed and when.

Is this template free?

Yes. The template is free to use with the eSignature app in VergeHR, and the people you send it to don't need a VergeHR login to sign.
