What is a reseller agreement?
A reseller agreement lets another business buy your products or subscriptions and sell them on to its own customers. It is the usual contract behind channel and partner programmes: a managed service provider reselling a SaaS tool, an IT dealer reselling hardware, or a consultancy bundling a product into its services.
This template appoints a non-exclusive authorised reseller, with an optional territory. You choose whether the reseller sells software or online subscriptions, physical products, or both, and set the reseller discount off list price, whether the company invoices per order or monthly, and the payment period. For software, end customers must accept your terms of service or licence, which you can name. You choose how support is split — reseller first-line with company second-line, company supports end customers directly, or reseller supports fully — and optionally link your brand guidelines and set a minimum sales commitment. Branding rules, confidentiality and data protection, liability limits, and what happens to existing subscriptions when the agreement ends are all covered.

Using the reseller agreement, step by step
1 Describe what is resold
Choose software or subscriptions, physical products or both, then list the products or plans covered. If there is software, name the end-user terms customers must accept — the reseller must make sure they do.
2 Set the discount and billing
Enter the reseller discount off your list price, whether you invoice each order or monthly in arrears, and the payment period. The reseller pays you on time whether or not its own customer has paid, and sets its own resale prices.
3 Split the support
Pick one of three support models. The most common for SaaS is reseller first-line support, with the company resolving issues the reseller escalates.
4 Add brand rules and targets
Link your partner brand guidelines if you have them. A minimum sales commitment is optional; if it is missed, the parties agree an improvement plan, and if the shortfall continues into the next contract year the company may end the agreement on 30 days' notice.
5 Choose the term
Set the initial term in months and the notice period. The agreement renews automatically for the same period unless either side gives notice, and existing customers keep access until the end of their paid period.
Tips Before You Send It
- Keep your list prices and discount in one place the reseller can see, such as a partner portal, and give 30 days' notice of changes.
- Decide early who owns the end-customer relationship after the agreement ends — the template lets the company continue serving customers once their paid period ends.
- If the reseller will handle end-customer personal data, sign data processing terms alongside this agreement where the law requires them.
- Want the partner to sell under its own brand instead of yours? Use a white label agreement.
- Territory restrictions on resellers are limited by competition law in some places, so keep the territory to where the reseller actively markets.

Reseller agreement: frequently asked questions
What is the difference between a reseller and a distributor?
Both buy from you and resell. "Reseller" is the usual term for software, subscriptions and partner programmes where end customers accept your terms; "distributor" usually means a business that imports and stocks physical products for a territory, often with exclusivity and minimum purchases.
Can the reseller set its own prices?
Yes. Under this template the reseller sets its own resale prices, and any prices you publish are recommendations only. Fixing resale prices is restricted by competition law in many countries.
Who supports the end customers?
You choose. The template offers reseller first-line with company second-line support, company support for end customers directly, or full support by the reseller, and describes each party's duties for the option chosen.
Is an e-signed reseller agreement binding?
Electronic signatures are generally valid for ordinary commercial contracts in the US (ESIGN Act and UETA), the UK, the EU (eIDAS) and Canada. VergeHR keeps an audit trail and a Certificate of Completion with the signed PDF.
