What is a contract termination notice?
A contract termination notice is the letter one party sends to end a contract under a right the contract gives it: a termination-for-convenience clause with a notice period, a right not to renew at the end of the term, or a right to terminate for a breach that hasn't been fixed. It's a one-sided document — the other party doesn't have to agree — so it needs to be clear about which contract, on what basis, and from when.
This template identifies the contract and its date, states the basis for ending it and the clause relied on, sets the termination date, sets out the breach and any earlier notice when you're ending for breach, lists the wind-down steps (final invoice, return or destruction of property and confidential information, handover), reserves your other rights, and asks the recipient to sign an acknowledgement of receipt — which confirms receipt only, not agreement.

Using the contract termination notice, step by step
1 Check the contract first
Find the termination clause: what rights it gives you, the notice period, how it's counted, and where and how notices must be sent. Note the clause number for the notice.
2 Choose the basis and the end date
Pick on notice, non-renewal, or breach, and set the termination date to allow at least the full notice period. If you're ending for breach, describe the breach and refer to your earlier notice of breach, if you sent one.
3 Add wind-down requests
The notice already asks for a final invoice, return of your property and confidential information, and cooperation on handover. Add anything specific — keys, data export, account transfers — and a contact for questions.
4 Send it and get an acknowledgement
Sign as the sender and add the recipient's signer. Their signature confirms they received the notice without meaning they agree. The signed copy and audit trail are filed in Files.
Tips Before You Send It
- Count the notice period exactly as the contract does — some count from receipt, some require notice before a renewal date.
- If the contract names an address or method for notices, send a copy that way as well as electronically.
- Ending for breach usually needs a notice of breach and a chance to fix it first — check what your contract requires.
- Keep performing and paying until the termination date unless the contract says otherwise.
- If both sides want out, a mutual termination agreement can settle everything at once instead.

Contract termination notice: frequently asked questions
Does the recipient have to sign?
No — a termination notice takes effect under the contract whether or not the other party agrees. The acknowledgement signature is useful evidence that it was received and when. The notice states that signing confirms receipt only, not agreement.
Is a notice sent through e-signature valid?
A notice is valid when it is given the way the contract says notices must be given. Many contracts allow email or electronic delivery; some require post, courier or delivery to a named address. If yours does, send a copy that way too. VergeHR's audit trail records when the notice was sent, opened and acknowledged.
What if I get the date wrong?
The notice includes a fallback: if any part of it isn't validly given, you intend the contract to end on the earliest date its terms allow. It's still best to get the date right — check the notice period and how it's counted.
Can I use this to end a lease or an employment contract?
It's written for commercial contracts between businesses. Residential leases and employment usually have their own legal notice requirements, so use a document made for them.
