What is a payment demand letter?

When friendly reminders have not worked, a formal demand letter is the next step. It sets out the invoice, the amount outstanding and the reminders already sent, gives a firm date to pay and explains what you may do if payment does not arrive. Many late payers pay on receiving one, and if they do not, the letter shows that you gave them a fair chance to pay or dispute the debt.

This template lets you send an ordinary demand or a final demand, list one or more invoices with what they were for and when they were due, set out how to pay, add late payment interest or charges your contract or the law allows, offer to discuss a payment plan, ask the customer to raise any dispute in writing before the deadline, pause further work if your terms permit, and choose your next step: legal proceedings, a collection agency, or further steps to recover the debt.

Using the payment demand letter, step by step

1 Choose a demand or a final demand

Use a demand for payment when you still hope to settle informally. A final demand adds a clear statement that this is your last request before you take the next step.

2 Set out the debt

Enter the invoice number, date, original due date, what it was for and the amount outstanding. List the reminders you have already sent. Add late payment interest or charges only if your contract or local law allows them, and say which.

3 Give a date and a way to pay

Set a realistic pay-by date and your payment details, such as bank transfer details or a payment link. Choose whether to offer a payment plan — many debts are recovered this way.

4 Say what happens next, then sign

Choose your next step and whether you will pause further work. Sign in VergeHR, then send the signed PDF by email and, where proof of delivery matters, by post too.

Tips Before You Send It

  • Only name a next step you are genuinely prepared to take.
  • Some places set rules for what a letter before legal action must include and how long the debtor must be given, especially when the debtor is an individual. Check before relying on this letter for a claim.
  • Keep copies of the invoice, your contract or terms, and each reminder — you will need them if the debt is disputed.
  • Invite the customer to raise a dispute in writing. If they do, look into it before you escalate.

Payment demand letter: frequently asked questions

Can I add interest to an overdue invoice?

Only where your contract or the law allows it. Rules on late payment interest and recovery charges differ by country and state, and are often different for consumers. The template includes interest only if you describe it and its basis.

What if the customer disputes the invoice?

The letter asks them to tell you in writing before the deadline, explaining why and enclosing supporting documents, so you can look into it before taking further steps.

Is this a letter before legal action?

It can serve as one, but some places have formal requirements for pre-action letters, particularly when the debtor is an individual. Check the rules where you intend to bring a claim, or ask a lawyer.

Can I sign a demand letter electronically?

Yes. An electronic signature is generally accepted on business letters like this in the US (ESIGN Act and UETA), the UK, the EU (eIDAS) and Canada, and VergeHR keeps an audit trail with the signed PDF.
