What is a retention bonus agreement?

A retention bonus (or "stay bonus") is a one-time payment an employer promises to an employee who stays until a set date. Companies use them when losing someone would be costly: during a merger or sale, a system migration, a product launch, a restructuring, or a busy season.

This template pays the bonus if the employee remains employed and not under notice until the retention date, keeps performing their duties in good faith, and is not in serious breach — plus any extra conditions you add. You can name the project or transaction behind the bonus, and bring the retention date forward if it finishes early. The bonus is paid within the number of days you choose after the date. If the employee resigns or is dismissed for cause, nothing is paid; if the company ends their employment for another reason, or they die or become unable to work, you choose whether the full bonus, a pro-rata part or nothing is paid. It also covers a sale of the business and optional confidentiality that still protects the employee's legal right to discuss pay.

Using the retention bonus agreement, step by step

1 Set the retention date

Choose the date the employee must stay until. If the bonus is tied to a project or transaction, describe it — the company can then bring the date forward if the work finishes early, but never push it back.

2 Add the amount and conditions

Enter the gross bonus and how many days after the retention date it is paid. The standard conditions are built in; add any extra ones, keeping them objective — "complete the handover plan" rather than "show commitment".

3 Decide what happens if employment ends early

If the company ends the employment without cause, or the employee dies or becomes permanently unable to work, choose whether the full bonus, a pro-rata part or no bonus is paid. Resignation and dismissal for cause always mean no bonus.

4 Choose confidentiality and send

Decide whether the employee must keep the bonus confidential, enter the governing law, and send. The signed agreement is filed in Files.

Tips Before You Send It

  • Paying the full bonus if you let the employee go without cause makes the offer credible — people are wary of a bonus they can lose through no fault of their own.
  • Offer the bonus early enough to make a difference: once someone has accepted another job, it is usually too late.
  • If you need people to stay in stages, consider separate agreements with separate dates rather than one long lock-in.
  • Budget for employer payroll taxes on the bonus as well as the gross amount.

Retention bonus agreement: frequently asked questions

What is the difference between a retention bonus and a sign-on bonus?

A sign-on bonus is paid when someone joins and may have to be repaid if they leave early. A retention bonus is paid after the employee has stayed until the retention date, so there is normally nothing to repay.

What counts as "Cause"?

The template defines Cause as serious misconduct, dishonesty, a serious or persistent breach of employment terms or policy after any warning the company's procedures require, or other conduct that would justify dismissal without notice under applicable law.

What happens if the company is sold before the retention date?

The agreement continues, and the company will require the new owner or employer to take it over. A transfer of the employee's employment to the buyer does not count as the employment ending.

Can an electronically signed retention agreement be enforced?

Electronic signatures are generally valid for ordinary employment agreements like this in the US (ESIGN Act and UETA), the UK, the EU (eIDAS) and Canada. VergeHR keeps an audit trail and a Certificate of Completion with the signed PDF.

Is this template free?

Yes. It is free with the eSignature app in VergeHR, and the employee signs without a VergeHR account.
