What is a sponsorship agreement?
A sponsorship agreement sets out the deal between a business that pays for visibility and the organisation that provides it: a charity run, a youth sports team, a conference, a festival, a community programme. Written terms protect both sides — the organisation knows when it will be paid, and the sponsor knows exactly which benefits it's buying and what happens if the event doesn't go ahead.
This template covers what is sponsored and for how long, an optional sponsorship level, the list of benefits the sponsor receives and a short delivery report, the fee and tax treatment, when it's paid, optional in-kind support, licences to use each other's names and logos with approval before first use, optional category exclusivity, conduct and reputation, what happens if the event is cancelled, termination, liability and insurance.

Using the sponsorship agreement, step by step
1 Describe the sponsorship
Name what is sponsored — the event, team, season or programme — the start and end dates, and a sponsorship level if you use tiers.
2 List every benefit
Write out exactly what the sponsor gets: logo placements and sizes, website and social posts, tickets or entries, a stand, speaking slots. The benefits list is what the sponsor is paying for, so be specific.
3 Set the fee and in-kind support
Enter the fee, whether it's before or including sales tax, VAT or GST, and when it's paid. Add any goods or services the sponsor provides in kind.
4 Exclusivity, approvals and cancellation
Fill in a category ("banking and financial services") to make the sponsor exclusive in it, or leave it empty for a non-exclusive deal. Set the logo-approval time and choose what the sponsor gets if the event is cancelled. Then add the signers and send.
Tips Before You Send It
- Get the sponsor's logo files and brand guidelines early — the template requires approval before first use.
- Keep exclusivity narrow and clear: a named business category, for the sponsorship period only.
- Collect photos of each benefit as you deliver it; the sponsor can ask for a short report after the term.
- Whether sales tax or VAT applies to sponsorship depends on local rules and on what the sponsor receives — check before invoicing.
- For a charity, check any rules on sponsorship income and on endorsing a sponsor's products.

Sponsorship agreement: frequently asked questions
What is category exclusivity?
It means the organisation won't take sponsorship from, or give branding rights to, a competitor of the sponsor in the named category during the term. It doesn't restrict participants' own personal sponsors or suppliers without branding rights.
What happens if the event is cancelled?
You choose in advance: a refund of the part of the fee for benefits not delivered, replacement benefits of similar value, or moving the sponsorship to a rescheduled date — with a refund for undelivered benefits if the alternative isn't accepted.
Can either side pull out over a scandal?
Yes. Either party may end the agreement by written notice if the other does something that brings, or is reasonably likely to bring, it into serious disrepute. The sponsor then pays for the benefits delivered so far, and any part of the fee paid for benefits not yet delivered is refunded.
Is an e-signed sponsorship agreement valid?
In most countries, including the US (ESIGN Act and UETA), the UK, the EU (eIDAS) and Canada, an electronic signature is generally valid for an ordinary commercial contract like this one. VergeHR keeps an audit trail and a Certificate of Completion with the signed PDF as evidence of who signed and when.
Is this template free?
Yes. The template is free to use with the eSignature app in VergeHR, and the people you send it to don't need a VergeHR login to sign.
