What is a consulting agreement?
A consulting agreement is the contract between a business and an outside expert it brings in to advise: a strategy or marketing consultant, a technical architect, a financial or operations adviser. It sets out what the consultant will do, how they are paid, what happens to the reports and recommendations they produce, and how each side protects the other's confidential information. Having it in writing makes clear who owns the work product and gives the consultant a clear basis for invoicing.
This template covers the consulting services and any client contact person, the term (a fixed end date or open-ended), an hourly rate with an optional cap on hours or a fixed fee, invoicing and payment days, expenses with an approval limit, the consultant's independent status, ownership of deliverables once paid for, mutual confidentiality, notice to end it, a liability cap and the governing law. Both sides sign and initial each page.

Using the consulting agreement, step by step
1 Describe the services
Say what the consultant will advise on, any deliverables such as a report or workshops, and the key dates. Name a client contact if one person gives instructions and approvals. The agreement says anything outside this scope must be agreed in writing first.
2 Choose how the consultant is paid
Pick an hourly rate or a fixed fee. For hourly work, you can set a maximum number of hours the consultant can't go over without approval; the consultant invoices monthly with a record of time worked. A fixed fee is invoiced at agreed milestones or, if none are agreed, half on signing and half on completion. Set how many days the client has to pay each invoice.
3 Set expenses and term
Enter an amount above which a single expense needs approval, or leave it empty so every expense needs approval first. Add an end date, or leave it empty so the agreement runs until the work is done or either side gives notice.
4 Set notice and governing law
Choose how many days' notice either side must give to end the agreement (30 by default), and the country, state or province whose law applies.
5 Send for signature
Add the consultant's name and email. VergeHR places both signature, date, job-title and initials boxes and sends the agreement; the signed copy is filed in Files.
Tips Before You Send It
- Write the scope in terms of outcomes and deliverables, not just activities — it makes it much easier to agree when the work is done.
- For open-ended hourly work, a cap on hours keeps the budget under control without renegotiating the whole agreement.
- The consultant keeps their pre-existing methods, templates and tools; the client gets a non-exclusive licence to those built into the deliverables. If you need more than that, agree it separately in writing.
- Whether someone is truly independent depends on how the work is done in practice, not only on what the contract says. Check local rules if the consultant works like a member of staff.
- For a larger programme of work, consider a master services agreement with separate statements of work.

Consulting agreement: frequently asked questions
What is the difference between a consulting agreement and an independent contractor agreement?
They are closely related. A consulting agreement is written for advice — reports, recommendations and workshops — and includes a liability cap, an expense approval limit and mutual confidentiality. An independent contractor agreement is broader, for any freelance work paid hourly, daily, by project or on retainer.
Who owns the consultant's work?
Once the client has paid for them, the deliverables created specifically for the client belong to the client. The consultant keeps its pre-existing materials, methods and know-how, and gives the client a licence to use any that are built into the deliverables.
How long does confidentiality last?
Both sides keep each other's non-public information confidential for three years after the agreement ends, and trade secrets for as long as they remain secret.
Is a consulting agreement signed electronically valid?
Electronic signatures are generally valid for ordinary commercial contracts like this in the US (ESIGN Act and UETA), the UK, the EU (eIDAS) and Canada. VergeHR keeps an audit trail and a Certificate of Completion with the signed PDF.
Is this template free?
Yes. It is free to use with the eSignature app in VergeHR, and the consultant doesn't need a VergeHR login to sign.
