What is a coaching agreement?

A coaching agreement is the short contract a coach and a client sign before a coaching program starts. It records what the client is buying — how many sessions, how long, how they happen and by when they must be used — and how the practical questions are handled: how to reschedule, what happens to a missed session, how and when the fee is paid, and whether anything is refunded if the client stops early.

Just as important, it sets expectations. This template states plainly that coaching is not therapy, counselling or health care, that the coach does not give medical, legal or financial advice, that the client makes their own decisions, and that no particular result is promised. It also covers confidentiality — including when an employer is paying — with the usual exceptions for a risk of serious harm or a legal requirement. It works for business, career, executive, leadership, life, wellness and relationship coaching.

Using the coaching agreement, step by step

1 Describe the program

Pick the type of coaching and describe the package in a sentence or two. Set the number of sessions, their length and whether they are by video, phone or in person. Add a use-by date if unused sessions should lapse, and any support between sessions.

2 Set the fee and refunds

Enter the fee and whether it is for the whole program, per session or per month, then choose when it is paid. Choose what happens if the client stops early: a refund for sessions not held, or no refund but sessions stay usable or transferable.

3 Choose the rescheduling notice

24 hours is common. A session cancelled with less notice, or missed, counts as used. If you cancel, the session is always rebooked at no cost.

4 Send it to your client

Add the client's name and email. They sign online on any device, without an account, and you both receive the signed PDF.

Tips Before You Send It

  • Have the agreement signed before the first session — the not-therapy and confidentiality clauses matter most at the start.
  • If a client mentions a mental health condition, the agreement lets you suggest another professional and end the program. Refer on when you are unsure.
  • Consumer protection rules in some places give clients cancellation or refund rights that override what a contract says. Check your local rules when choosing the refund option.
  • When an employer pays, the person being coached still signs. The agreement says you won't share what they tell you with the employer without their permission.

Coaching agreement: frequently asked questions

Why does a coaching agreement say coaching is not therapy?

Because clients sometimes expect a coach to treat anxiety, depression or other conditions. Saying clearly that coaching is not therapy or health care, and that the coach may refer the client to another professional, protects the client and sets honest expectations.

Is what I tell my coach confidential?

Under this agreement, yes — the coach keeps it confidential, including from an employer who pays, unless there is a risk of serious harm or the law requires disclosure. The coach may discuss the coaching anonymously with a supervisor.

What happens if I miss a session?

A session cancelled with less than the agreed notice, or missed, counts as used unless the coach agrees otherwise. If the coach cancels, it is rebooked at no cost.

Can a coaching agreement be signed electronically?

In most countries, including the US (ESIGN Act and UETA), the UK, the EU (eIDAS) and Canada, an electronic signature is generally valid for an ordinary commercial contract like this one. VergeHR keeps an audit trail and a Certificate of Completion with the signed PDF as evidence of who signed and when.

Is this template free?

Yes. The template is free to use with the eSignature app in VergeHR. Signers don't need a VergeHR login.
